1. Introduction and Acceptance of Terms

UniExamFocus (uniexamfocus.com) is owned and operated by XPO8 Limited, a company incorporated in Hong Kong's Special Administrative Region.

UniExamFocus provides online exam preparation services for university admission tests across multiple disciplines. The platform offers practice question banks, timed test simulations, performance analytics, community discussion features, leaderboards, and study coordination tools.

By accessing, browsing, registering for an account, purchasing a subscription, or otherwise using the Site (collectively, "using the Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"), together with our Privacy Policy, which is incorporated herein by reference.

2. Definitions

Throughout these Terms, the following definitions apply:

• "Service" refers to the UniExamFocus platform, including the website, all test communities, question banks, test simulations, community features, and any related services provided by XPO8 Limited.
• "Site" refers to the website located at uniexamfocus.com and all associated subdomains.
• "User," "you," or "your" refers to any individual who accesses or uses the Service.
• "Company," "we," "us," or "our" refers to XPO8 Limited.
• "Test Community" refers to an individual exam preparation product on the platform (e.g., Bocconi, TOLC-I), each of which is sold and accessed separately.
• "Account" refers to a registered user profile on the Service.
• "Content" refers to all materials on the Service including questions, explanations, test simulations, text, images, graphics, logos, and software.
• "User Content" refers to any content posted by users in community features, including discussion threads, comments, and profile information.
• "Subscription" refers to a paid plan that grants access to a specific Test Community.

3. Important Disclaimer: No Affiliation

UniExamFocus is an independent educational tool designed to help students prepare for university admission exams. The Service is not affiliated with, endorsed by, or connected to any of the following organisations:

• CISIA (Consorzio Interuniversitario Sistemi Integrati per l'Accesso) — the entity that creates and administers TOLC exams
• Bocconi University — or any other university that uses admission testing
• Any government body, educational authority, or exam administration organisation

All practice tests, questions, and simulations on this Site are original materials created by XPO8 Limited and its content team for educational practice purposes. They do not constitute actual exam questions and should not be represented as such. Any resemblance to actual exam content is coincidental or falls within fair use for educational commentary and criticism.

Exam names such as "TOLC-I," "TOLC-E," "TOLC-B," and "Bocconi Admission Test" are used solely for identification purposes and to describe the type of preparation offered. Use of these names does not imply endorsement or affiliation.

4. Eligibility and Capacity

By using the Service, you represent and warrant that:

• Age: You are at least 18 years of age. If you are between 16 and 18 years old, you may use the Service only with the valid consent of a parent or legal guardian who has read and accepted these Terms on your behalf. Users under 16 are not permitted to use the Service.
• Legal Capacity: You have the full legal capacity and authority to enter into a binding agreement under the laws of your jurisdiction.
• Compliance: Your use of the Service does not violate any applicable laws, regulations, or third-party rights in your jurisdiction.
• Accuracy: All information you provide during registration and use of the Service is truthful, accurate, and complete.

5. User Account and Registration

5.1 Account Creation

To access the question databases, practice tests, community features, and other paid features of the Service, you must create an account by providing a valid email address and creating a password. You agree to provide accurate, current, and complete information during registration and to keep your account information updated at all times.

5.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials (email and password). You accept full responsibility for all activities that occur under your account, whether or not authorised by you. You must notify us immediately at contact@uniexamfocus.com if you become aware of any unauthorised use of your account or any other breach of security.

5.3 Account Sharing Prohibition

The Company reserves the right to immediately suspend or terminate, without prior notice or refund, any account that shows evidence of simultaneous access from multiple IP addresses, devices, or geographic locations, or any other activity indicating that the account is being shared with unauthorised parties.

5.4 Separate Access Per Test Community

Each Test Community on UniExamFocus is a separate, independently sold product. Purchasing a subscription to one Test Community (e.g., Bocconi) does not grant access to any other Test Community (e.g., TOLC-I). Access rights, question banks, simulations, and community features are isolated on a per-community basis.

5.5 One Account Per User

Each individual may maintain only one account on the Service. Creating multiple accounts to circumvent restrictions, exploit promotions, or abuse the Score Improvement Guarantee is strictly prohibited and grounds for immediate termination of all associated accounts without refund.

6. Intellectual Property Rights

6.1 Ownership

All Content on the Service — including but not limited to question databases, practice tests, test simulations, answer explanations, performance analytics algorithms, text, graphics, logos, icons, images, audio, video, software code, and the overall design and compilation of the Service — is the exclusive property of XPO8 Limited or its licensors and content suppliers.

All Content is protected by the laws of the Hong Kong Special Administrative Region and international intellectual property treaties, including but not limited to the Copyright Ordinance (Cap. 528), the Trade Marks Ordinance (Cap. 559), and the Berne Convention for the Protection of Literary and Artistic Works.

6.2 Limited Licence

Subject to your compliance with these Terms and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for your personal, non-commercial, educational purposes.

6.3 Restrictions

You expressly agree not to:

• Copy, reproduce, distribute, transmit, broadcast, display, sell, license, publish, or create derivative works from any portion of the Content, question databases, or practice tests
• Use any automated means, including bots, crawlers, spiders, scrapers, or data mining tools, to access, collect, or extract data from the Service
• Reverse engineer, decompile, disassemble, decrypt, or attempt to derive the source code of any software component of the Service
• Share, screenshot, photograph, record, or otherwise reproduce any Content — including individual questions, answer explanations, or test results — on public forums, social media platforms, messaging applications, or with any third party
• Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices contained in or on the Service
• Frame, mirror, or create links to any portion of the Service without prior written consent
• Use the Service or Content to develop a competing product or service

7. Products and Services

7.1 Test Communities

UniExamFocus offers the following Test Community products, each sold and accessed independently:

Each Test Community subscription may include, depending on plan level:

• Access to a dedicated question bank with thousands of practice questions, organised by topic and difficulty
• Timed test simulations that mirror the format, duration, and scoring methodology of the target exam
• Detailed, step-by-step answer explanations for every question
• Performance analytics including score tracking, category-level breakdowns, and progress monitoring
• Community discussion channels with topic-specific threads
• Leaderboard and reputation system to track relative performance
• Calendar and meetup coordination features for study groups
• Test history with full review of past attempts

7.3 Service Modifications

The Company reserves the right to modify, update, or discontinue any aspect of the Service — including features, question content, and community tools — at any time without prior notice. The Company shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

8. Payments, Subscriptions, and Pricing

8.1 Pricing

Each Test Community has its own pricing plans, which are displayed on the respective community's page on the Site. All prices are listed in Euros (EUR) unless otherwise stated. The Company reserves the right to change pricing at any time; however, price changes will not affect active subscriptions until their next renewal period.

8.2 Payment Processing

Payments are processed through third-party payment processors (including but not limited to Stripe). By making a purchase, you agree to the payment processor's terms of service in addition to these Terms. The Company does not store complete credit card numbers on its servers.

8.3 Automatic Renewal

Recurring subscriptions automatically renew at the end of each billing cycle at the then-current price unless you cancel at least 24 hours before the renewal date. By purchasing a recurring subscription, you authorise the Company to charge your designated payment method for each subsequent renewal period until you cancel.

8.4 Cancellation

You may cancel a recurring subscription at any time through your account settings or by contacting contact@uniexamfocus.com. Cancellation takes effect at the end of the current billing period. You will retain access to your subscription benefits until the paid period expires. No partial refunds are issued for unused portions of a billing period.

8.5 Failed Payments

If a payment fails, the Company may suspend access to the relevant Test Community until the outstanding balance is resolved. The Company reserves the right to retry the charge or request an alternative payment method.

9. Refund Policy

9.1 No Refund for Non-Use

No refund will be issued if you fail to use the Service during your subscription period. It is your responsibility to make use of the access you have purchased.

9.2 Wrong Product Purchased

Purchasing access to the wrong Test Community (e.g., buying TOLC-I when you needed TOLC-E) does not entitle you to a refund. You are responsible for verifying which exam you are preparing for before completing your purchase.

9.3 Technical Issues

If you experience technical issues that prevent you from accessing the Service for an extended period, contact contact@uniexamfocus.com immediately with details of the issue. Refunds or account extensions for verified technical malfunctions remain at the Company's sole discretion.

9.4 Chargebacks

Filing a chargeback or payment dispute without first contacting the Company to resolve the issue may result in immediate account termination and permanent banning from the Service. The Company reserves the right to contest any chargeback and to pursue recovery of the disputed amount.

10. Score Improvement Guarantee (Conditional Refund)

For refund requests under this guarantee, email: refunds@uniexamfocus.com

Customers may qualify for a full refund of the subscription fee for a specific Test Community under the Score Improvement Guarantee, strictly subject to all of the following conditions being met. This guarantee applies independently to each Test Community product purchased.

10.1 Completion Requirement

You must have correctly answered every single question in the relevant Test Community's question bank. "Correctly completed" means achieving a correct answer on every question, without exception. The Company may request in-app completion data as proof.

10.2 Official Test Proof (Before and After)

To qualify, you must submit:

• Proof of an official exam result obtained before purchasing the subscription — an official test receipt, score certificate, or verifiable result from the exam administrator (e.g., CISIA, Bocconi University)
• Proof of an official exam result obtained after purchase showing no improvement in score

Only official certificates, receipts, or reports directly from the exam administrator are accepted. Screenshots, self-reported scores, unofficial estimates, or results from third-party platforms are not accepted.

10.3 Minimum Preparation Period

At least 21 consecutive calendar days must elapse between the date of purchase and the date of the second official exam. Official exams taken before day 21 do not qualify for the guarantee.

10.4 No Improvement Condition

A refund is only issued if the score on the second official exam is equal to or lower than the score on the exam taken before purchase. Any improvement in score, regardless of how small, disqualifies the claim.

10.5 One Claim Per Customer Per Product

Only one guarantee claim per customer per Test Community is permitted. Subsequent claims relating to the same account, payment method, email address, device, or individual are automatically rejected.

10.6 Submission Deadline and Required Documentation

Claims must be submitted within 14 calendar days of receiving the second official exam result. Late submissions are not accepted. Your submission must include:

• Proof of payment (receipt or transaction confirmation)
• Official result from the exam taken before purchase
• Official result from the exam taken after purchase
• Evidence of completing all questions in the relevant Test Community

Refund approval remains at the Company's sole discretion, subject to independent verification of all submitted documentation.

10.7 Exclusions

The Score Improvement Guarantee does not apply to:

• Customers who have not correctly completed all questions in the relevant Test Community
• Customers unable to provide valid, verifiable official documentation
• Official exams taken fewer than 21 days after purchase
• Results that are unofficial, altered, illegible, expired, or otherwise unverifiable
• Users operating multiple accounts or suspected of guarantee abuse or fraud
• Subscriptions obtained through promotional offers, giveaways, or free access codes

11. User Conduct and Prohibited Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You specifically agree not to:

• Violate any applicable local, national, or international law or regulation
• Interfere with, disrupt, or place an undue burden on the Service's servers, networks, or infrastructure
• Attempt to gain unauthorised access to any part of the Service, other user accounts, or any connected systems or networks
• Use the Service to harass, abuse, threaten, defame, or discriminate against any individual or group
• Upload, transmit, or distribute any viruses, worms, trojans, malware, or other harmful or malicious code
• Post or distribute spam, unsolicited advertising, or promotional material through community features
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Manipulate leaderboard rankings, reputation scores, or any gamification elements through fraudulent activity
• Create fake accounts, fake reviews, or artificially inflate engagement metrics
• Use the Service to collect or harvest personal data of other users without their consent
• Circumvent, disable, or interfere with any security features of the Service

The Company reserves the right to investigate and take appropriate legal action against anyone who, in the Company's sole discretion, violates this section, including removing offending content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

12. Community Features and User Content

12.1 Community Features

UniExamFocus provides community features within each Test Community, including but not limited to: discussion channels organised by topic, threaded discussions, comments, a reputation and points system, leaderboards, meetup coordination, and calendar events.

12.2 User Content Licence

By posting User Content through community features, you grant XPO8 Limited a non-exclusive, worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the Service. You retain ownership of your User Content, but this licence allows us to operate and improve the Service.

12.3 Content Standards

All User Content must comply with the following standards. Content must not:

• Be unlawful, threatening, abusive, harassing, defamatory, or discriminatory
• Contain real exam questions or answers from official exams
• Infringe on any intellectual property rights of any third party
• Contain personal information of other users or third parties without consent
• Be misleading, deceptive, or constitute academic dishonesty
• Contain commercial solicitation, spam, or advertising

12.4 Moderation

The Company reserves the right, but has no obligation, to monitor, edit, or remove any User Content at its sole discretion, for any reason, including but not limited to violation of these content standards. The Company is not responsible for any User Content posted by users.

13. Warranty Disclaimers

To the fullest extent permitted by applicable law (including the Supply of Services (Implied Terms) Ordinance, Cap. 457 and the Sale of Goods Ordinance, Cap. 26 of the laws of Hong Kong), XPO8 Limited expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

• Educational Outcomes: The Company makes no guarantee that the Service will meet your specific educational needs, improve your exam performance, or result in admission to any educational institution. Individual results depend on numerous factors beyond the Company's control.
• Content Accuracy: While the Company strives to maintain high-quality, accurate content, it does not warrant that questions, answers, explanations, scoring algorithms, or other educational materials are free from errors, omissions, or inaccuracies across any Test Community.
• Service Availability: The Company does not guarantee that the Service will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components. The Service may be subject to scheduled or unscheduled downtime for maintenance, updates, or other reasons.
• Compatibility: The Company does not warrant that the Service will be compatible with all devices, browsers, or operating systems.
• Third-Party Services: The Company is not responsible for the availability, accuracy, or reliability of any third-party services integrated with or linked from the Service, including payment processors.

14. Limitation of Liability

To the maximum extent permitted by applicable law, including the Control of Exemption Clauses Ordinance (Cap. 71) of the laws of Hong Kong:

XPO8 Limited, its directors, officers, employees, affiliates, agents, contractors, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, goodwill, or other intangible losses
• Your use of or inability to use the Service or any Test Community
• Failure to pass any exam or gain admission to any educational institution
• Unauthorised access to, alteration of, or deletion of your data or account
• Statements or conduct of any third party on the Service, including in community features
• Purchasing access to the wrong Test Community product
• Any errors, inaccuracies, or omissions in Content or educational materials
• Any interruption, suspension, or termination of the Service

The limitations of liability in this section apply regardless of the legal theory on which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if the Company has been advised of the possibility of such damages.

15. Indemnification

You agree to defend, indemnify, and hold harmless XPO8 Limited, its directors, officers, employees, affiliates, agents, contractors, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees and costs) arising from or relating to:

• Your access to or use of the Service, including any Test Community
• Your violation of any provision of these Terms
• Your violation of any applicable law or regulation
• Your violation of any rights of any third party, including intellectual property rights, privacy rights, or publicity rights
• Any User Content you post or submit through the Service
• Any dispute between you and another user of the Service

This indemnification obligation will survive the termination of your account and these Terms.

16. Personal Data and Privacy

Your personal data is collected, processed, and stored in accordance with our Privacy Policy and the Personal Data (Privacy) Ordinance (Cap. 486) of the laws of Hong Kong.

By using the Service, you consent to the collection and processing of your personal data as described in the Privacy Policy. You warrant that all personal data you provide is accurate, complete, and current, and you agree to update your information promptly if it changes.

The Company implements appropriate technical and organisational measures to protect your personal data against unauthorised access, alteration, disclosure, or destruction.

17. Termination

17.1 Termination by the Company

The Company may terminate or suspend your account and access to any or all Test Communities immediately, without prior notice or liability, at its sole discretion, for any reason, including but not limited to: violation of these Terms, suspected fraudulent activity, account sharing, or abusive behaviour in community features.

17.2 Effect of Termination

Upon termination, your right to use the Service ceases immediately across all Test Communities. The Company is not obligated to maintain or provide access to your account data, User Content, test history, or any other information associated with your account following termination.

17.3 Termination by You

You may close your account at any time by contacting contact@uniexamfocus.com. Account closure does not entitle you to a refund of any prepaid subscription fees.

17.4 Survival

The following sections survive termination of these Terms: Intellectual Property Rights (Section 6), Refund Policy (Section 9), Warranty Disclaimers (Section 13), Limitation of Liability (Section 14), Indemnification (Section 15), Applicable Law and Dispute Resolution (Section 18), and any other provisions that by their nature should survive termination.

18. Applicable Law and Dispute Resolution

18.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without giving effect to any principles of conflicts of law.

18.2 Jurisdiction

You irrevocably submit to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region for the resolution of any dispute or claim arising out of or in connection with these Terms.

18.3 Informal Resolution

Before filing any formal claim or proceeding, you agree to first contact the Company at contact@uniexamfocus.com and attempt to resolve the dispute informally. The parties agree to negotiate in good faith for at least 30 days before initiating any formal proceedings.

19. Amendments to Terms

The Company reserves the right to modify, amend, or replace these Terms at any time. For substantive changes that materially affect your rights or obligations, the Company will make reasonable efforts to provide at least 30 days' notice before the revised Terms take effect. Notice may be provided by email, in-app notification, or by posting a prominent notice on the Site.

What constitutes a "substantive change" remains at the Company's sole discretion. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

21. No Waiver

The Company's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorised representative of the Company.

22. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by the Company on the Service, constitute the entire agreement between you and XPO8 Limited regarding your use of the Service. These Terms supersede any prior agreements, understandings, or representations, whether written or oral, relating to the subject matter hereof.
